What is a one-way NDA?

A one-way or unilateral NDA is designed for a situation where confidential information mainly flows from one party to another. The recipient takes on confidentiality obligations relating to the discloser’s protected information.

What is a mutual NDA?

A mutual NDA is designed for a situation where both sides expect to disclose confidential information. Each party can owe confidentiality duties in relation to information received from the other.

When a one-way NDA may fit

It may be appropriate where only one business is revealing a confidential idea, process, dataset or commercial plan and the other party is receiving it for a defined purpose.

When a mutual NDA may fit

It may be more suitable for negotiations, collaborations or joint projects where both parties expect to exchange sensitive information.

Mutual does not automatically mean balanced

Even a document labelled “mutual” should be checked carefully. Definitions, exclusions, duration, remedies and permitted uses can affect each party differently.

Choose based on the real information flow

Do not select an agreement merely because one version sounds stronger. Match the structure to what the parties will actually disclose and obtain advice where the information is particularly valuable or the transaction is complex.
